In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by Noticed UK and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Noticed UK and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

1) Intellectual Property And Acceptable Use

1.1) All Content included on the Website, unless uploaded by Users, is the property of Noticed UK, our affiliates or other relevant third parties. In these terms and conditions, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored on a device that appears on or forms part of this Website, including any such content uploaded by Users. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights.

1.2) Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner's express permission.

1.3) You may, for your own personal, non-commercial use only, do the following:

4) Service Agreement & Overview of Connection Services

4.1) The Noticed UK Platform is an online communication platform that connects Customers with Service Providers. “Customers” are individuals or businesses seeking short-term services from Service Providers, who are businesses offering these services.

4.2) Potential Customers can search the website to find professionals who meet their needs. These requests from Potential Customers, which include details about what the customer is looking for, are referred to as enquiries. Each enquiry allows us to connect you with professionals who may be able to fulfil the criteria you have provided.

4.3) Noticed UK operates this website to connect potential customers with professionals offering various services. The website’s algorithms help identify professionals who may be able to meet the customer’s requirements, ensuring an efficient matching process.

If You Are An Individual Consumer:

4.4) When you submit your enquiry to Noticed UK, you agree to these terms and conditions, allowing us to verify your contact details and location. By agreeing to these terms and conditions, you:

4.4.1) Consent to Noticed UK contacting you to confirm the details of your enquiry.

4.4.2) Authorise Noticed UK to pass on your contact details and location to Noticed Premium subscription holders provided their criteria matches your request. This will enable businesses to fulfil your needs.

4.5) If your contact details are incorrect, inactive, or disabled, or if the IP address linked to your request does not match the location of the service requested or falls outside Noticed UK’s operational area, your request will be rejected.

4.6) Once your enquiry is verified, we will provide you with details of up to three Professionals who may be able to meet your needs. These Professionals (if a Noticed Premium subscription holder) will contact you directly, or you can choose to contact them yourself.

4.7) However, if we cannot find any Professionals who match your criteria. We will inform you and provide details of Professionals within a similar industry who could provide the services you need. This gives you the option to broaden your requirements.

4.8) You will be able to review the information you receive from the Professionals and decide whether or not to engage one of them for the services you need. We do not endorse or guarantee that the Professionals identified through our service can fulfil your requirements. You are responsible for communicating with the Professional to ensure they can meet your needs before entering into a contract with them.

4.9) If you decide to engage a Professional, you will become their customer and enter into a contract with them. For clarity, the services are provided by the Professional, not by Noticed UK. Noticed UK is not a party to any agreement between you and the Professional, and such a contract does not create an employment or any other service relationship between Noticed UK and you.

4.10) Noticed UK has no control over the information on the Professional’s website and accepts no responsibility for its content. The content of such third-party websites is the responsibility of the respective Professional. You will need to contract directly with the Professional for any services you require from them.

If you are a business customer:

4.11) Service Providers are independent business owners and contractors working with Customers. They are not employees, partners, representatives, agents, joint venturers, or franchisees of Noticed UK. Noticed UK does not perform services or employ individuals to perform services; instead, it functions as an online marketplace that links Customers with Service Providers who offer a variety of services.

4.12) By accepting these Terms and Conditions, you agree to register as a “Professional” on the website.

4.13) If you are paying the required Fees (Noticed Premium), you may periodically receive contact details of potential customers from Noticed UK, as detailed below. Noticed UK will provide you with the contact details of the Potential Customers, now referred to as Contacts, so that you can reach out to them.

4.14) Potential Customers can review responses they receive from you and other Professionals and may choose to enter into a separate contract with you or another Professional. If a Potential Customer engages your services, they become your customer. It is important to note that a Customer is a customer of the Professional, not a customer of Noticed UK.

Important:

4.15) Noticed UK acts solely as a facilitator for the introductions and contacts mentioned above. The provision of any services by a Professional to a Customer is subject to a separate legal contract. If there are any issues with the performance of those services, the customer will have legal rights of redress against the Professional directly, and not against Noticed UK. This applies whether you are a Customer or a Professional.

5) Quality of Connection Services

5.1) Noticed UK will provide the connection of services using reasonable care and skill. Time will not be of the essence, as we have stated on the website that any Contacts will be provided within a prescribed period.

5.2) In the case of Noticed UK’s performance of the Connection Services, unless expressly stated otherwise in these Terms and Conditions, all warranties, conditions, and other terms implied by law (whether by statute, common law, or otherwise) are excluded from these Terms and Conditions.

5.3) We do not make any guarantees that you will be successful in being hired by a Potential Customer for services. Our role is solely to provide you with the opportunity to contact a Potential Customer. If you do not secure a job with the Potential Customer who has issued an enquiry on our website, you will not be entitled to any refund from us.

8) Business User Registration and Review Process

8.1) Before and during your use of the website, you may need to go through a review process. This can include identity checks, right-to-work verification, and criminal background checks using third-party services.

8.2) While Noticed UK may perform these checks, we cannot guarantee the accuracy or reliability of the information.

By registering for an Account, you agree that you:

8.2.1) Accept these Terms and Conditions.

8.2.2) Are either self-employed or represent an independent business (such as a corporation or limited liability company).

8.2.3) Will use our services for business purposes only.

8.2.4) Will follow all relevant laws and customs and not upload or host illegal content or services.

8.2.5) Will meet any licensing or registration requirements for your business.

8.2.6) Will respect the privacy, property, and data protection rights of Users and be courteous to Users and Noticed UK staff.

8.2.7) Will keep your commitments to other Users, communicate clearly, be available at agreed times, and use the approved payment service provider for transactions.

8.2.8) Are at least 18 years old and able to form legally binding contracts.

8.3) You also represent and warrant that:

8.3.1) You have the right to work in the area where you will be providing services.

8.3.2) If required, you have the necessary business licence or business tax registration for the area where you will perform the services.

8.3.3) You are responsible for obtaining any necessary licences, permits, or registrations before offering and providing services.

8.3.4) You have all required insurance for your business and services, including coverage for any damage, injury, or mistakes made during your services.

8.3.5) You will honour your commitments to other Users, respond to invitations promptly, perform services as agreed, and provide timely, high-quality services.

8.3.6) You will only offer and provide services for which you have the necessary skills and expertise and will do so safely and following all applicable laws.

8.3.7) Any information, images, or documents you upload to the website are true, complete, and accurate. You have obtained all necessary permissions to use and upload such content.

8.4) You agree that you (and will ensure that any Users employed by or affiliated with you) will not:

8.4.1) Attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute any part of the website in any form or media.

8.4.2) Attempt to decompile, reverse compile, disassemble, reverse engineer, or otherwise reduce the website to a human-perceivable form.

8.4.3) Access any part of the website to build a product or service that competes with the Communication Services.

8.4.4) Licence, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit the website or make any Contacts available to any third party without Noticed UK’s express written agreement.

8.4.5) Introduce or allow the introduction of any virus or vulnerability into Noticed UK’s network and information systems.

8.4.6) Attempt to re-register an account on the website if you have been previously banned.

8.4.7) Attempt to obtain the contact details of Potential Customers via the website by any means other than through the details provided by Noticed UK, including making your (or your business’s) contact details publicly visible on the website.

8.5) To register for an Account and use our Services, you must complete a Professional profile, which will be visible to the public. You must provide accurate and complete information on your profile and keep it current. Do not provide false or misleading information about your identity, location, business, business owners, skills, or services. If any information becomes false or misleading, you must correct it. We may suspend or terminate your Account or access to our Platform if you provide untrue, inaccurate, or incomplete information. Each business can only create one Account. We reserve the right to remove any duplicate accounts for the same services.

8.6) Businesses registering for a free listing will have a partial account with us. Only Premium listing holders who provide payment details will be registered on our company account. By signing up, either personally or through someone registering on your behalf, you accept that your information will be made public. This allows us to contact the business and provide our services as agreed.

8.7 If you register a listing as an employee or agent of a company, you confirm that you are authorised to enter into binding contracts on behalf of yourself and the company.

For Noticed Premium Subscription Holders:

8.7) You agree not to request or allow another person to create an Account for you, your use, or your benefit, except that authorised employees or agents may create an Account on behalf of your business.

By granting other Users permissions under your Account, you represent that:

8.7.1 The User is authorised to act on your behalf.

8.7.2 You are fully responsible and liable for the User’s actions and omissions, including making payments, entering into Customer Contracts, and violating the Terms of Use. However, other users, agents, or employees of your company cannot make payments on behalf of your company unless given authorisation from the account holder.

For Free Listings:

8.8) You agree not to request or allow another person to create a Service Provider Listing for you, your use, or your benefit, except that authorised employees or agents may create a Service Provider Listing on behalf of your business.

By granting other Users permissions under your Service Provider Listing, you represent that:

8.8.1) The User is authorised to act on your behalf.

8.8.2) You are fully responsible and liable for what the User does and does not do, including concerning the services offered and complying with the Terms of Use.

8.9) In both cases, if any User granted permissions under your Account or Service Provider Listing violates these Terms and Conditions, it may affect your ability to use our Services. When an Account or Service Provider Listing is closed, Noticed UK may close any related Accounts or Listings.

8.10) Where you have subscribed to Noticed Premium, such subscription is subject to us being able to carry out the necessary verification checks on you and/or your business. If we cannot perform these checks or verify you and/or your business, we will not be obligated to display a "Noticed Premium" symbol next to your profile on the website.

9) Ranking Criteria for Businesses and Individual Consumers

9.1) When a Customer places an enquiry, Noticed UK may present a list of Professionals who meet the requirements of the customer’s request. This applies to both business and individual consumer accounts. Noticed UK ranks professionals on the list based on a default algorithm that evaluates specific criteria.

9.2) The algorithm prioritises professionals according to specific criteria, selecting the best matches for the request. Among the Professionals who provide the requested service within a particular location, the algorithm assigns a higher ranking to those who:

9.2.1) Have a complete, up-to-date profile;

9.2.2) Obtain a Noticed Premium account and make payment for the "Noticed Premium Subscription" service.

Noticed Premium Providers:

9.3) If multiple Noticed Premium subscription holders compete within the same criteria, the algorithm will randomly select from among those who meet the requirements—Noticed UK does not guarantee that you will be the top or sole listing within that criteria.

9.4) Whether you are a business or an individual consumer, the default algorithm does not restrict consumers from selecting the Professional of their choice. Consequently, Noticed UK is not responsible if the consumer does not enquire about your business or the company cannot provide the requested service. For more information, please refer to the quality of services clause.

10) Limitation Of Liability

10.1) You acknowledge that the agreement for the provision of the Services is between you and the Professional. You agree that Noticed UK does not oversee, manage, control, or monitor the Professional in fulfilling their contractual obligations. The Professional is solely responsible for delivering the Services to you.

10.2) Noticed UK holds no liability to you regarding the provision of the Services or your interactions with any Professionals listed on the Website. Any errors, delays in service, breaches of obligation, or fraudulent misrepresentations by a Professional on the Website are the sole responsibility of that Professional.

10.3) You also acknowledge and agree that you are fully responsible for evaluating the suitability of any Professional, deciding whether to enter into a Customer Contract, and verifying any information about the Professional.

10.4) These Terms and Conditions do not limit or exclude our liability to you for:

10.4.1) death or personal injury caused by our negligence;

10.4.2) our own fraud or fraudulent misrepresentation; or

10.4.3) any other matter for which liability cannot be excluded or limited by law.

10.5 We are not responsible for the content of any third-party websites linked to from our Website and will not be liable for any loss or damage arising from your use of them.

If You Are An Individual Consumer:

10.6) Please note that we provide Facilitation Services only for domestic and private use. You agree not to use the Facilitation Service for commercial or business purposes, and we have no liability for any loss of profit, loss of business, business interruption, or loss of business opportunity.

If You Are A Business Customer:

10.7) To the fullest extent permitted by applicable law, we exclude all conditions, warranties, representations, or other terms that may apply to this website or any content on it, whether express or implied.

10.8)We will not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising from or in connection with the Facilitation Services. In particular, we will not be liable for:

10.8.1) loss of profits, sales, business, or revenue;

10.8.2) business interruption;

10.8.3) loss of anticipated savings;

10.8.4) loss of business opportunity, goodwill, or reputation; or

10.8.5) any indirect or consequential loss or damage.

10.9) Since Noticed UK is not a party to any agreement between Customers and Professionals, you release us from all claims, demands, and damages (actual and consequential) of any kind and nature, known and unknown, arising out of or in any way connected with any dispute with a Professional existing at the time you enter into this Agreement. This release covers disputes about the performance, functions, and quality of the Services provided, and requests for refunds based on such disputes. This release does not apply to claims that Noticed UK failed to meet its obligations under the Terms of Use.

10.10) The Customer agrees to defend, indemnify, and hold harmless Noticed UK and its directors, officers, employees, and representatives against all claims, actions, proceedings, losses (including direct, indirect, and consequential losses), damages, expenses, and costs (including court costs and reasonable legal fees) arising out of or in connection with the Customer's use of the Facilitation Services.

11) Availability Of The Website And Disclaimers

11.1) Any online facilities, tools, services or information that Noticed UK makes available through the Website (the Service) is provided "as is" and on an "as available" basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. Noticed UK is under no obligation to update information on the Website, unless otherwise obligated under law.

11.2) Whilst Noticed UK uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guarantee in that regard and all Users take responsibility for their own security, that of their personal details and their devices.

11.3) Noticed UK accepts no liability for any disruption or non-availability of the Website.

11.4) Noticed UK reserves the right to alter, suspend or discontinue any part (or the whole of) the Website including, but not limited to, any products and/or services available. These terms and conditions shall continue to apply to any modified version of the Website unless it is expressly stated otherwise.

12) General

12.1) You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

12.2) These terms and conditions may be amended by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.

12.3) These terms and conditions together with the Privacy Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

12.4) The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.

12.5) If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.

12.6) Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

12.7) This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
